1. Eligibility & Acceptance
These Terms of Service (“Terms”) govern your access to and use of the EnterpriseTek platform, APIs, and related services (collectively, the “Service”) provided by EnterpriseTek (“we”, “us”, “our”).
To use the Service you must:
- Be at least 18 years of age or the age of majority in your jurisdiction
- Have the authority to enter into a binding agreement on behalf of your organisation
- Not be prohibited from using the Service under applicable law
- Have a valid account provisioned by your organisation’s administrator
Your use of the Service constitutes your acceptance of these Terms. If you are using the Service on behalf of an organisation, these Terms bind that organisation.
2. Permitted Use
Subject to these Terms, we grant you a limited, non-exclusive, non-transferable licence to:
- Access and use the Service solely for your organisation’s internal business purposes
- Upload, manage, and distribute marketing and print assets through the platform
- Use the API within agreed rate limits to integrate with authorised third-party systems
Prohibited Activities
You may not:
- Reverse-engineer, decompile, or disassemble any part of the Service
- Use the Service to transmit unlawful, harmful, or fraudulent content
- Attempt to gain unauthorised access to other accounts, systems, or networks
- Resell or sublicense access to the Service without our written consent
- Use automated tools (scrapers, bots) against the Service in ways that harm performance
- Violate any applicable export control or sanctions laws
3. Customer Responsibilities
- Account security — You are responsible for maintaining the confidentiality of your credentials and for all activity that occurs under your account. Notify us immediately at security@enterprisetek.net of any suspected unauthorised access.
- Content — You retain ownership of content you upload. You are solely responsible for ensuring that your content does not infringe third-party intellectual property rights or violate applicable law.
- Compliance — You are responsible for ensuring your use of the Service complies with all laws and regulations applicable to your organisation, including data protection laws (e.g., GDPR, CCPA) where relevant.
- User management — Administrators are responsible for managing user access, revoking accounts for departed employees, and applying the principle of least privilege.
4. Service Availability
We target 99.5% monthly uptime for the EnterpriseTek platform, measured excluding scheduled maintenance windows.
- Scheduled maintenance will be communicated at least 48 hours in advance
- We will endeavour to perform maintenance during off-peak hours (weekends / overnight US CT)
- We do not guarantee uninterrupted access and are not liable for outages caused by third-party infrastructure (Microsoft Azure, DNS providers, ISPs)

5. Intellectual Property & Data Ownership
Our IP
The Service, including all software, designs, trademarks, and documentation, is and remains the exclusive property of EnterpriseTek and its licensors. Nothing in these Terms transfers any ownership rights to you.
Your Data
You own all data you upload to the Service (“Customer Data”). You grant us a limited licence to process Customer Data solely to provide and improve the Service. We will not use Customer Data for any other purpose without your explicit consent.
Upon termination, we will make Customer Data available for export for 30 days, after which it will be deleted in accordance with our retention policy.
6. Limitation of Liability
To the maximum extent permitted by applicable law, EnterpriseTek’s total aggregate liability to you arising out of or related to these Terms or the Service shall not exceed the greater of: (a) the total fees paid by you in the 12 months immediately preceding the claim, or (b) USD $500.
In no event shall EnterpriseTek be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, business, or goodwill, even if we have been advised of the possibility of such damages.
Some jurisdictions do not allow exclusion of certain implied warranties or limitation of liability. In such jurisdictions, our liability is limited to the minimum extent permitted by law.
7. Termination
By You
You may terminate your use of the Service at any time by contacting your account manager. Termination does not entitle you to a refund of pre-paid fees.
By Us
We may suspend or terminate your access immediately if:
- You breach these Terms and fail to remedy the breach within 10 business days of notice
- You use the Service in a way that poses a security risk or legal liability
- Required by applicable law or regulation
- Your account remains inactive and unpaid for more than 90 days
Effect of Termination
Upon termination, your right to access the Service ceases. Sections 5 (IP & Data), 6 (Liability), 8 (Disputes), and 9 (Governing Law) survive termination.
8. Dispute Resolution
Before initiating formal proceedings, the parties agree to attempt good-faith negotiation for at least 30 days after one party notifies the other of the dispute in writing.
If the dispute is not resolved through negotiation, it shall be settled by binding arbitration administered under the rules of the American Arbitration Association (AAA), with proceedings conducted in English. The arbitration award shall be final and enforceable in any court of competent jurisdiction.
Class action waiver: You agree to bring disputes only in your individual capacity and not as a plaintiff or class member in any class or representative action.
9. Governing Law
These Terms are governed by the laws of the State of Illinois, United States, without regard to its conflict-of-law provisions. For disputes not subject to arbitration, you consent to exclusive jurisdiction in the state and federal courts located in Cook County, Illinois.
10. Changes to These Terms
We may update these Terms from time to time. We will provide at least 30 days’ notice of material changes by email or prominent notice within the Service. Continued use of the Service after the effective date of changes constitutes acceptance of the updated Terms.
